General Counsel Offer Proven Strategies to Achieve Effective Legal Compliance and Risk Management

Two Step Software webinar offers a five point framework to simplify compliance in an environment of increased scrutiny of internal controls.

Needham, MA – February 14, 2008 — LexisNexis® and Two Step Software, Inc., a leader in stock plan administration and corporate governance solutions, today announced a new webinar to help corporate counsel of non-reporting companies develop best practices based on Sarbanes-Oxley and new internal controls requirements to develop more effective compliance strategies.

The webinar, entitled “Proven Strategies for Improving Your Legal Compliance Scorecard” is a 45-minute live, online presentation that will be held Thursday, February 28, 2008, at 1:00 pm EST. Experienced corporate counsel from private equity backed, technology companies will discuss how to develop a practical approach to compliance that answers the question: “What are we doing about the top legal compliance risks facing our company?”

“The trickle-down effect of Sarbanes-Oxley has become a small but steady stream after the options backdating scandals of 2006 and new risk assessment audit standards for non-public companies for 2007,” Levine explained. “Smaller public and private companies are now subject to greater scrutiny by auditors and investors alike. To prepare for their next investment or acquisition, they need to ensure they are taking the right steps toward good legal compliance.”

Craig Newfield, software industry veteran and Vice President and General Counsel of web monitoring company Gomez, Inc., and Mark Martines, Executive Vice President and General Counsel of enterprise solution provider Jenzabar, Inc., will join Levine to discuss the importance of adopting corporate governance standards, implementing fraud prevention programs, having written policies to minimize the loss of proprietary assets and information, managing corporate records, and ensuring foreign subsidiaries are in compliance. They will offer practical proven strategies for good corporate governance and risk management.

“Good legal compliance is now considered more than a strategic advantage by investors, directors, customers, partners and acquirers – it’s a must,” said Gary D. Levine, President and CEO of Two Step Software, Inc. “Even companies that are not subject to Sarbanes-Oxley need to ensure that their corporate compliance programs reduce the risks of fraud, errors, litigation, and loss of key assets,” he said.

This is the fourth webinar over the past 12 months that Two Step has hosted to offer the best educational resources related to capitalization and compliance for venture-backed and other high performing companies. A large set of webinar materials, including recorded versions of previous webinars, can be downloaded from Two Step’s website.
