Sample studies on how FAS 123R is implemented at a public and a non-public company will be presented. |

Developed for stock plan administrators, this course provides an introduction to the taxation rules for ISOs, NQOs, ESPPs, restricted stock awards, foreign-based plans, stock appreciation rights, non-qualified ESPPs, and transferable stock options (TSOs). You will learn how Sec. 83(b) elections, early exercises, stock swaps, and modified options affect taxes for the employee and the company. Examples of typical situations will also be addressed. |

This advanced course is intended for stock plan administrators who already have a good understanding of the taxation rules for their equity plan. This course provides an investigation of new and updated laws and applications, including: 409A, 83(b), and ISO regulations. In addition, all existing regulations and applications, as well as liability issues (e.g. Section 83, 162(m), 280G, DDs and QDs, tax-qualified plans) will be covered. A case study of a public, global corporation with various complexities will be presented. Advanced topics pertaining to mergers, non-qualified plans, RSAs, SARs, RUs, deferred compensation, TSOs, promissory notes, and loans and stock swaps will be addressed. |
